PATCH THERAPY, INC. – TERMS OF USE

Last Revised: August 20, 2026

Welcome to Patch. The parties to these Terms of use are you and the owner of the website and software applications, Patch Therapy, Inc. (“Patch,” “we,” “us,” or “our”) owns and operates the carebypatch.com website and Patch mobile application. Patch provides a technology platform that helps parents and legal guardians locate licensed pediatric therapy providers, complete intake processes, schedule in-person therapy sessions, exchange secure communications and documents, and manage payments related to those services.

Patch does not itself provide occupational therapy, physical therapy, speech-language therapy, or other healthcare services. All clinical services are provided independently by licensed Providers.

By creating an account, downloading our mobile application, or accessing the Service, you agree to be bound by (i) these Terms of use, (ii) our Privacy Policy, Safety Tips, and Community Guidelines, each of which is incorporated by reference, and (iii) any terms disclosed if you purchase additional features (collectively, this "Agreement"). If you do not accept and agree to be bound by all of the terms of this Agreement, please do not use the Service.

  • Intended Markets: This Service is specifically designed for and directed to users located in the United States of America. Services may not be available in every state, territory, or jurisdiction. Providers may offer services only in jurisdictions where they are appropriately licensed or otherwise authorized to practice. Availability varies by jurisdiction. Patch does not represent that every Provider or therapy type is available in every state or territory. Providers are responsible for offering services only where they hold the licenses, registrations, and other authorizations required by applicable law.

Modifications to this Agreement: Patch reserves the right, in its sole discretion, to modify or update these Terms of use at any time to reflect operational changes, technical upgrades, or evolving healthcare regulations. If we make a material change, we will provide advance notice through the Platform, by email, or by another reasonable method. Where required by law, we will request renewed consent. Continued use after the effective date of a change constitutes acceptance to the extent permitted by applicable law.

  1. USER CLASSIFICATIONS & ELIGIBILITY

The Service categorizes users into distinct groups. Your rights and obligations vary based on your classification:

  • Parents & Legal Guardians ("Families"): Individuals seeking pediatric therapy services for minors. You represent and warrant that you are at least 18 years of age and hold the definitive legal authority to contract for healthcare services on behalf of the minor patient registered under your account. The Platform is strictly directed to and intended for operation by adults; minors are entirely prohibited from creating an account, directly interacting with the Platform interface, or submitting personal data. Minors may only receive therapy services coordinated via the account under the continuous direct supervision of a parent or legal guardian who agrees to be fully bound by this Agreement. Minors may not create accounts or independently use the Platform. A parent or legal guardian may provide information about a minor when reasonably necessary to locate, coordinate, schedule, or receive pediatric therapy services. The parent or guardian represents that they have legal authority to provide the information and make healthcare-related decisions for the minor.

  • Pediatric Therapy Providers ("Providers"): Licensed occupational therapists, physical therapists, speech-language pathologists, and other verified specialists using the Platform to manage, coordinate, or facilitate treatment. Providers must maintain valid, unexpired professional licenses in their practicing jurisdictions.

Standard Suitability Restrictions

You are not authorized to create an account unless you can form a binding contract with Patch. Furthermore, you warrant that you are not barred from using the Service under the laws of the United States or other applicable jurisdictions, do not appear on the U.S. Treasury Department’s list of Specially Designated Nationals. Users may not use the Platform if prohibited by applicable law or if Patch has suspended or terminated their access for fraud, abuse, safety concerns, or material violations of these Terms. Services may not be available in every state, territory, or jurisdiction. Providers may offer services only in jurisdictions where they are appropriately licensed or otherwise authorized to practice.

2. MEDICAL DISCLAIMER & NATURE OF SERVICE

A. No Medical Advice or Treatment by Patch

Patch is a technology platform designed to facilitate coordination, scheduling, and communication between Families and Providers. Patch is not a healthcare provider, does not practice medicine or therapy, does not prescribe treatments, and does not make clinical decisions. Patch does not guarantee that a particular provider, therapy type, appointment time, or location will be available.

B. No Provider-Patient Relationship with Patch

Use of the Platform, completing intake forms, or communicating with customer service does not establish a physician-patient, therapist-patient, or clinical relationship with Patch. The clinical relationship exists strictly and exclusively between the Family and their chosen independent Provider.

🚨 EMERGENCY WARNING: THE PLATFORM IS NOT DESIGNED OR INTENDED FOR MEDICAL EMERGENCIES. IF YOU BELIEVE A CHILD IS EXPERIENCING A MEDICAL EMERGENCY, CALL 911 OR PROMPTLY GO TO THE NEAREST EMERGENCY DEPARTMENT. DO NOT ATTEMPT TO USE THE PLATFORM TO MANAGE URGENT MEDICAL EVENTS.

3. PROVIDER CREDENTIALING & DISCLAIMER OF BACKGROUND CHECKS

A. Provider Licensing

Patch requires Providers to submit verification of licensure prior to utilizing the Platform to offer services. While Patch performs reasonable automated or manual checks on professional licensing board registries, Families acknowledge that licenses can change status. It is the individual responsibility of the Family to independently verify the credentials, status, and suitability of any Provider they select.

B. In-Person Therapy Sessions and Assumption of Risk

All therapy sessions arranged through the Platform are conducted in person at a location agreed upon by the Family and Provider, such as a clinic, school, office, or home. Patch does not provide the therapy session and is not responsible for the Provider’s independent clinical decisions or professional services, except to the extent responsibility cannot be excluded under applicable law.

C. Right to Deny Service

Patch may restrict, suspend, or terminate an account when reasonably necessary to address fraud, unlawful activity, threats to safety, misuse of the Platform, nonpayment, licensing concerns, or a material violation of these Terms. Where appropriate and legally permitted, Patch will provide notice and an opportunity to appeal

4. HIPAA COMPLIANCE & PROTECTED HEALTH INFORMATION (PHI)

Patch is committed to maintaining the confidentiality, integrity, and privacy of your child's personal health information. When Patch creates, receives, maintains, or transmits PHI on behalf of a healthcare Provider that is a HIPAA Covered Entity, Patch acts as a Business Associate and processes that PHI in accordance with HIPAA, the applicable Business Associate Agreement, and Patch’s legal obligations.

A. Business Associate Relationship

To the extent that Patch processes, stores, or transmits Protected Health Information (PHI) on behalf of a Provider who is a "Covered Entity" under the Health Insurance Portability and Accountability Act (HIPAA), Families control which Provider receives the child’s intake and health information. Patch will share health information with a Provider only when the Family selects or authorizes that Provider, or when disclosure is otherwise permitted or required by law. Families may revoke future Provider access through the Platform or by contacting Patch, subject to information already received or legally retained by the Provider.

B. User Authorization & Consent

By providing health information, developmental histories, or evaluation records on the Platform, Families grant Patch a necessary, lawful authorization to transmit, display, and share this information with the specific Providers selected by the Family for coordination of care.

C. Technical and Administrative Safeguards

In accordance with the HIPAA Security Rule, Patch implements rigorous administrative, technical, and physical safeguards designed to prevent unauthorized access or disclosure of ePHI. These safeguards include:

  • Encryption at Rest and in Transit: All health data sent to or stored within the Platform is encrypted at rest and in transit using industry-standard safeguards.

  • Role-Based Access Controls (RBAC): Access to patient records is restricted using role-based access controls to authorized Families and the specific linked Providers managing the child's care.

  • Audit Logging: Patch maintains audit and activity logs designed to record access, modification, export, and administrative actions involving sensitive records. Access to these logs is restricted to authorized personnel.

D. Statutory Breach Notification

In the event of a confirmed security incident resulting in a breach of unsecured PHI, Patch will notify affected Families and relevant Covered Entity Providers without unreasonable delay, and in no event later than 60 days following the discovery of the breach, strictly adhering to the HIPAA Breach Notification Rule.

5. REVENUE, FEES, AND PAYMENT HANDLING

A. Therapist Platform Subscriptions

Providers may be required to purchase an auto-renewable subscription to access Provider functionality within the Patch application. On iOS, Provider subscriptions are purchased and managed through Apple In-App Purchase. Payment is charged to the Provider’s Apple Account when the purchase is confirmed.

Subscriptions renew automatically unless cancelled through the Provider’s Apple Account before the renewal date. Removing the Patch application or deleting a Patch account does not automatically cancel an Apple subscription. Providers can manage subscriptions through the App Store subscription settings. Apple processes eligible cancellation and refund requests according to Apple’s applicable terms and policies.

Patch will provide a Restore Purchases function for eligible purchases.

B. In-Person Therapy Session Payments

Families may pay for in-person therapy sessions through Stripe or another authorized payment processor. These payments are exclusively for professional services performed in person outside the application. They do not unlock digital content, subscriptions, or Platform functionality.

Payment card information is processed by the applicable payment processor. Patch does not store full payment-card numbers.

C. Appointment cancellation and refunds

Refunds and cancellation rights for in-person therapy sessions are governed by the applicable appointment-cancellation policy, Provider agreement, and mandatory consumer-protection law. Refunds for Apple In-App Purchases are handled by Apple under Apple’s applicable policies.

D. Payment Disputes

Users should contact contact@carebypatch.com regarding payment questions or disputed session charges. Patch may temporarily restrict payment-related functionality while a legitimate payment dispute, failed payment, or suspected fraud is investigated. Nothing in these Terms limits a user’s rights under applicable law or the policies of Apple, Stripe, the user’s financial institution, or another applicable payment provider.

6. INTELLECTUAL PROPERTY & PROHIBITED USES

A. Platform Ownership

The Service, Platform, and all underlying source code, software architecture, functionality, databases, custom electronic medical record (EMR) styling, intake structures, designs, text, graphics, and proprietary applications (collectively, the "Content") are the proprietary property of, or are licensed exclusively to, Patch Therapy, Inc.. This Content is protected under copyright, trademark, patent, and other intellectual property laws of the United States.

B. Prohibited Software Interaction

You are granted a personal, worldwide, royalty-free, non-assignable, nonexclusive, revocable, and non-sublicensable license to access and use the Service. This license automatically terminates if you do any of the following:

  • Use the Service or any content contained in the Service for commercial purposes without our written consent.

  • Use any robot, bot, spider, crawler, scraper, site search application, proxy, or other automated device or process to access, retrieve, index, "data mine", or copy the Platform's structure, user lists, medical history forms, or provider metadata.

  • Frame, mirror, reverse engineer, decipher, decompile, or otherwise disassemble any segment of the mobile application code.

A. Content Standards

We will not treat information that you post to public areas of this app as proprietary, private, or confidential. You agree that you will not post content that is illegal, nefarious, constitutes hate speech, incites violence, contains graphic or sexually explicit material, or promotes racism and bigotry. Patch reserves the right, but undertakes no duty, to review, edit, remove, or delete any user content in its sole discretion.

The Platform allows Families and Providers to exchange private messages and attachments. Users may submit only content they are legally authorized to provide and that is relevant to therapy coordination, scheduling, intake, treatment, billing, support, or another legitimate use of the Platform.

Users may not send unlawful, threatening, harassing, discriminatory, sexually exploitative, fraudulent, malicious, or otherwise abusive content. Users may not upload malware, infringing materials, or documents containing personal or health information they are not authorized to disclose. Users may report a message, attachment, conversation, or account through the in-app reporting tools. Users may also block another user from sending additional messages or attachments. Blocking a Provider may affect an active care relationship or scheduled appointment; Patch may provide additional instructions for safely changing Providers or managing upcoming appointments.

Patch may review reported content and limited associated account information when reasonably necessary to investigate safety, abuse, fraud, security, legal, or policy concerns. Access is restricted to authorized personnel and handled in accordance with the Privacy Policy. Patch will review reports within a reasonable timeframe and may remove content, restrict messaging, suspend accounts, notify relevant Providers, or take other proportionate action. Immediate action may be taken when necessary to address an urgent safety, legal, or security concern.

B. Content Moderation Transparency & Appeals (California Compliance)

  • Good-Faith Enforcement: Patch will apply and enforce its moderation standards using a combination of human review and automated tools in a consistent, proportionate manner.

  • Notice of Moderation Actions: Unless it compromises safety or violates the law, Patch will provide notice to the affected user when taking a moderation action, including a brief explanation and instructions on how to appeal.

  • Right to Appeal: If a user believes a moderation action or account restriction was taken in error, they may submit an appeal through our support channel within 30 days of receiving notice. Patch will review in good faith and issue a final decision.

  • Immediate Action: Patch may take immediate account suspension or termination actions without advance notice if a user's conduct presents an urgent risk to user safety, indicates fraud, or is required by law process.

If you believe copyrighted material has been copied and posted on the Service in a way that constitutes copyright infringement, please provide our DMCA Agent with a written notification containing: a physical or electronic signature of the copyright owner; identification of the copyrighted work; identification of the infringing material and its in-app location; your contact details; a good-faith belief statement; and an accuracy statement made under penalty of perjury.

  • Reporting & Blocking Communications:

Users may report a message, attachment, conversation, or account through the in-app reporting tools. Users may also block another user from sending additional messages or attachments. Blocking a Provider may affect an active care relationship or scheduled appointment; Patch may provide additional instructions for safely changing Providers or managing upcoming appointments.

  • Access & Moderation of Communications:

Patch may review reported content and limited associated account information when reasonably necessary to investigate safety, abuse, fraud, security, legal, or policy concerns. Access is restricted to authorized personnel and handled in accordance with the Privacy Policy.

Notwithstanding the foregoing, either party may bring an action in a court of competent jurisdiction located in Sheridan, Wyoming, to seek urgent injunctive or other equitable relief to protect its intellectual property rights, trade secrets, proprietary application architectures, or to prevent unauthorized data access and scraping.

B. Class Action and Jury Waiver

YOU EXPRESSLY ACKNOWLEDGE AND AGREE THAT YOU ARE WAIVING YOUR RIGHT TO A TRIAL BY JUDGE OR JURY. YOU FURTHER AGREE THAT YOU MAY ONLY BRING CLAIMS AGAINST PATCH THERAPY, INC. IN AN INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF, REPRESENTATIVE, OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, OR REPRESENTATIVE PROCEEDING AGAINST PATCH.

9. INDEMNIFICATION & LIMITATION OF LIABILITY

A. Indemnity

To the extent permitted under applicable law, you agree to indemnify, defend, and hold harmless Patch Therapy, Inc., our corporate affiliates, officers, directors, agents, and employees from and against any and all complaints, demands, claims, damages, losses, costs, liabilities, and expenses (including reasonable attorney's fees) arising out of or relating in any way to your access to or use of the Service, your Content, your misuse of the Platform, or your breach of this Agreement.

THIS LIMITATION SHALL NOT APPLY TO FRAUD, WILLFUL MISCONDUCT, RECKLESSNESS, OR ANY ACTION NOT PERMITTED TO BE LIMITED BY APPLICALBE LAWS.

PATCH'S TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS RELATING TO THE SERVICE SHALL NOT EXCEED THE GREATER OF USD $100 OR THE SUM TOTAL OF PLATFORM FEES PAID TO PATCH BY YOU IN THE PRECEDING SIX (6) MONTHS.

10. GENERAL LEGAL PROVISIONS

  • TCPA Wireless Communications Consent: By providing a mobile phone number to the Platform, Families and Providers explicitly consent to receive automated operational text messages (SMS), and email communications from Patch relating to appointment scheduling, security updates, and billing configurations. Consent to receive promotional marketing texts is not a condition of purchase. You may opt out of automated text notifications at any time by replying "STOP" to any mobile message received from the Platform.

  • Governing Law & Venue: The laws of Wyoming, U.S.A., excluding conflict of laws rules, will apply to any disputes. Any litigation not covered by arbitration will be litigated exclusively in the federal or state courts of Sheridan, Wyoming. This choice of law does not deprive users of mandatory consumer-protection rights available under the laws of their state or territory of residence.

  • Consumer Rights Information: In accordance with California Civil Code Section 1789.3, California users may contact the Complaint Assistance Unit of the Division of Consumer Services of the California Department of Consumer Affairs, 1625 North Market Blvd., Suite N-112, Sacramento, CA 95834, telephone (800) 952-5210.

12. ACCOUNT DELETION

Users may initiate deletion through Settings → Account → Delete Account. Because Patch operates in a regulated healthcare environment, Patch may manually verify and process a deletion request. Patch will inform the user of the expected processing timeframe and notify the user when deletion is completed.

Account deletion removes account data that Patch is not legally or operationally required to retain. Certain clinical, transaction, security, fraud-prevention, or legal records may be retained for the periods required by applicable law. Independent Providers may also have separate professional obligations to retain medical records.

Deleting a Patch account does not automatically cancel an Apple subscription. Providers should manage active subscriptions through their Apple Account.

Apple EULA

If you are using Apple’s standard EULA, add:

Use of the iOS application is also subject to Apple’s Standard Licensed Application End User License Agreement. If these Terms conflict with mandatory Apple terms governing the licensed iOS application, the applicable Apple terms control with respect to that application license.

Do not submit the Patch Terms as a custom App Store EULA unless all of Apple’s mandatory EULA provisions are added.
